1. Acceptance of Terms

By accessing or using the SageOS website (sageos.ai) and related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

SageOS provides an AI agent governance and orchestration platform (“Platform”) that enables enterprises to deploy governed AI agents with human-in-the-loop approval workflows, audit trails, and policy enforcement. The Services include:

Access to the SageOS Platform under applicable subscription agreements
The SageOS website and marketing materials
Demo environments, pilot programs, and proof-of-concept deployments
Documentation, support, and professional services

3. Account and Access

Access to certain features of the Services may require registration or an enterprise agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of applicable laws or regulations
Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems
Interfere with or disrupt the integrity or performance of the Services
Reverse engineer, decompile, or disassemble any part of the Services
Use the Services to transmit malware, spam, or any harmful content
Reproduce, duplicate, copy, sell, or resell any portion of the Services without express written permission

5. Intellectual Property

The Services, including all content, features, functionality, and underlying technology, are owned by SageOS Technologies and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. Nothing in these Terms grants you any right to use the SageOS name, trademarks, or logos without prior written consent.

6. Customer Data

You retain all rights to data you submit to or through the Services (“Customer Data”). You grant SageOS a limited license to use Customer Data solely to provide and improve the Services. We will not use Customer Data to train AI models, share with third parties for their benefit, or for any purpose other than delivering and improving the Services.

7. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SAGEOS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGEOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless SageOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SageOS Technologies is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by applicable law.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or via email. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
